For many years, states have struggled with ways to collect taxes on sales made by remote sellers - mail order companies and, in recent years, Internet marketers. The new technology of the web has heightened the state's sense of urgency in this area. The U.S. Supreme Court has consistently ruled that states can't force companies without nexus to collect use taxes, but that hasn't stopped the states from trying to force the issue while companies have used tax planning strategies to avoid those collection duties. Many companies that have brick and mortar stores created separate corporations to handle their Internet sales specifically to avoid use tax collection duties. This is what has prompted a lawsuit in Illinois initiated by a law firm that is trying to use the whistleblower statute in that state to force those affiliated companies to collect taxes and, in the meantime, create a potential bonanza for the law firm. Recent IRS actions reveal a hard-line strategy for passthrough entities such as family limited partnerships and limited liability companies involved in estate tax cases.
